Under the preliminary conditional share purchase agreement of 2 February 2021, Medicover becomes the owner of a controlling stake (73%) in Dom Lekarski SA. The outlets affected by the transaction will, however, continue their operations under the Dom Lekarski brand, it was indicated.

Dom Lekarski brand will stay on the market

As a result of the acquisition, Medicover becomes a shareholder in five facilities in Szczecin run by Dom Lekarski SA. These are Turzyn Clinic, Outlet Park, Piastow Office Center with a hospital ward and a modern operating theatre, Rydla Clinic and Gombrowicz Hospital Ward, which is an independent treatment centre. All five facilities involved in the transaction will continue to operate under the Dom Lekarski brand. The medical offer of these centres is not included in the benefits guaranteed under Medicover medical packages.

Dom Lekarski has been listed on NewConnect since 2011. Currently, 85% of Dom Lekarski SA’s revenue comes from private medical services, while 15% comes from cooperation under a contract with the National Health Fund.

Dom Lekarski SA generated standalone revenues of PLN 3.7m in the fourth quarter of 2020, a decrease of approximately 42% compared to the same period in 2019. At the end of 2020, the company employed approximately 57 people (FTE). The medical staff, however, brings together more than 150 doctors from a range of 40 specialties. It is worth noting that Dom Lekarski SA ceased to consolidate its financial statements with Szpital Powiatowy w Gryfinie Sp. z o.o. on 1 January 2020. This was due to the reduction of its share in the capital of this company from 74% to 48%.
